Terms and Conditions of Sale and Use

Effective from: 11 November 2024

 

These Terms and Conditions (“Terms”) govern your access to and use of the website www.printique.com.au and all goods and services supplied by Printique Group Pty Ltd (ABN 958 348 069 28) (“Printique”, “we”, “us”, “our”). By accessing our website or placing an order, you agree to be bound by these Terms.


1. General Terms

1.1 These Terms apply to all transactions, whether made online, via email, over the phone, or in person.

1.2 By placing an order, you warrant that you are at least 18 years old or have legal capacity to enter into a binding contract.

1.3 We reserve the right to modify or update these Terms at any time. Changes take effect upon publication on our website.


2. Orders and Contract Formation

2.1 Orders must be made in writing or via our designated online portal. Once submitted, all orders are final and cannot be cancelled without our written consent.

2.2 A contract is formed only upon our written acceptance or commencement of production. Receipt of payment does not constitute acceptance.

2.3 You are responsible for ensuring all order details, quantities, and specifications are accurate. We are not liable for errors resulting from incorrect information submitted by you.


3. Pricing, Invoicing, and Payment

3.1 All prices quoted are in Australian Dollars (AUD) and include GST, unless stated otherwise.

3.2 Pricing is subject to change without notice, but no changes will apply to confirmed orders unless otherwise agreed.

3.3 Payment must be made in full before production commences, unless alternative arrangements are agreed upon in writing.

3.4 We reserve the right to charge interest on overdue invoices at the rate prescribed under the Civil Procedure Act 2005 (NSW), plus any debt recovery costs.


4. Artwork and Design Specifications

4.1 You are responsible for supplying print-ready artwork in accordance with our file specifications.

4.2 We may provide a digital proof for approval. You are responsible for thoroughly reviewing the proof, including layout, colours, spelling, fonts, and positioning.

4.3 Upon approval, production will proceed, and you acknowledge that no changes can be made once approval is given. We are not liable for errors or omissions in approved proofs.

4.4 Where design assistance is provided by us, you warrant that any content or images supplied by you do not infringe third-party rights, including copyright and trademarks.


5. Production and Turnaround Times

5.1 Standard production times vary by product type and quantity. Estimated production times are provided as guidelines only.

5.2 Production times commence once payment and proof approval are received.

5.3 While we strive to meet estimated deadlines, we do not guarantee delivery by any specific date. Delays due to factors beyond our control (e.g., supplier shortages, courier delays, force majeure) do not constitute grounds for cancellation or compensation.


6. Delivery and Risk

6.1 Deliveries are made using third-party courier services. Delivery charges are clearly itemised at checkout or on your invoice.

6.2 All risk in the goods passes to you once dispatched from our premises.

6.3 We are not liable for late or failed deliveries caused by courier services or incorrect delivery addresses provided by you.

6.4 Title to the goods remains with Printique until full payment is received, pursuant to section 51 of the Sale of Goods Act 1923 (NSW).


7. Defects, Returns, and Consumer Guarantees

7.1 We are committed to complying with the Australian Consumer Law (ACL). Nothing in these Terms excludes your rights under the ACL.

7.2 You must inspect all goods upon delivery. Claims for faulty or incorrect goods must be made in writing within 7 days of receipt.

7.3 Custom printed items are non-returnable unless they are defective or do not match the approved proof.

7.4 If a product is faulty, you may be entitled to a replacement, repair, or refund in accordance with ACL provisions.


8. Limitation of Liability

8.1 To the maximum extent permitted by law:

  • We exclude all implied warranties under the ACL or otherwise.

  • Our liability is limited to the resupply of goods or a refund of the amount paid.

8.2 We are not liable for indirect or consequential loss, including loss of profit, data, or business opportunity.

8.3 Any liability for defective products will not exceed the cost of the goods in question.


9. Intellectual Property

9.1 You retain ownership of any intellectual property you provide, but you grant Printique a non-exclusive, royalty-free licence to use, reproduce, and modify the materials for the purposes of fulfilling your order.

9.2 All templates, designs, content, and materials created by Printique remain our property and may not be reproduced or used without our express written consent.


10. Force Majeure

We are not responsible for any delay or failure to perform due to circumstances beyond our control including, but not limited to, natural disasters, supplier delays, cyber-attacks, government restrictions, pandemics, or strikes.


11. Privacy

All personal information collected is handled in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using our services, you consent to such collection and handling.


12. Termination

We reserve the right to cancel or suspend an order or service without notice if you breach these Terms or act in a manner that is unlawful or disruptive.


13. Dispute Resolution

13.1 If a dispute arises, both parties agree to first attempt to resolve it informally and in good faith.

13.2 If unresolved, the matter must be referred to mediation before initiating court proceedings, unless urgent injunctive relief is required.


14. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Any legal proceedings must be initiated in the courts of New South Wales.
